The Firm concentrates on trade association and golf and private social and recreational club legal matters on a local and national level.  Matters customarily addressed in trade association work include organization, governance and operations. Matters addressed in golf and private social and recreational club work include property management, acquisition, development, membership plan design, documentation and implementation, including bylaws, rules, policies and member admission procedures and documentation.  We also advise owners and managers on the entire range of club and golf course related legal issues, such as tax avoidance and non-recognition, equity conversions, equity elimination, management employment contracts and advising owners and directors on governance, privacy and tax exemption issues.

Other areas of experience include corporate and limited liability company legal issues accompanied by substantial experience in transactional work. The Firm advises business, nonprofit and professional clients regarding organizational and operational legal issues. The client base includes trade associations, social and recreational clubs and small businesses. Work performed includes preparing turnover agreements, ground leases, management agreements, non-disclosure and confidentiality agreements, distributorship and independent marketing agreements, limited liability company articles and operating agreements and corporate organizational and real estate related transactional documentation.

The Firm and its predecessors date back to 1970.
